For a small, highly profitable Pharmaceutical company, Nobska performed
valuation services as part of the sale of the company by its original founders.
On the recommendation of legal counsel, Nobska was hired by one of the founders
to determine the fairness of a specific buy-out offer. We analyzed predictable
cash flows, customer segmentation trends, competition, patent timelines, drug
pipeline and market extension opportunities, and the probability of success of
various clinical trials, in order to provide a sophisticated and complete
understanding of our client’s value and potential. Nobska’s work revealed
additional value for the buyer, resulting in a more than 50% increase in the
cash purchase price to our client, plus on-going license income participation.
On behalf of management, Nobska negotiated, structured financing, and closed
the buy-out of a $50mm+ Temporary Staffing division of a publicly held company.
Our analysis of the strategic dynamics of the industry and our client’s
unusually profitable business model, coupled with our successful negotiation of
the purchase price and seller financing, were fundamental to the achievement of
attractive senior and subordinate debt and equity financing. Despite a very
difficult credit environment, management personally received an equity position
of more than 40% with little investment, in comparison to the usual 10-15%
achieved.
For a division of a Fortune 100 Information Technology company, Nobska has
provided strategy counsel on business design, analysis of customer and
competitor trends, value propositions, and executive development and education.
Our work with management of this division has led to two additional merchant
banking assignments.
For a $75 million in revenues Financial and Health Care Newsletter company,
Nobska helped the client create an integrated digital publishing and web
strategy focused on building customer loyalty and retention, as well as customer
acquisition. Our analysis revealed extensive opportunities to deliver increased
value, drive down costs, and improve long-term customer relationships. In the
years since that engagement, we have been gratified to see the company double in
size and increase profits by approximately 4 times.
Nobska invested consulting services in an early stage Human Resource and
Business Process Outsourcing Company. We have been fundamentally involved in
business design, executive recruitment, sales and marketing development,
customer needs and segmentation analysis, and related consulting work, including
raising approximately $1.5 million in equity funds post the venture market
downturn. The company has grown more than 10X in revenue, developed an industry
leading IT architecture, and most importantly, achieved profitability.
